MAPAS Terms & Conditions & End-User License Agreement (EULA)

These Terms & Conditions and End-User License Agreement ("Agreement") govern your use of the MAPAS mobile application, website, and related services (collectively, the "Services").

This Agreement includes both:

  • The MAPAS Terms & Conditions, which govern your use of the MAPAS platform and services; and
  • The MAPAS End-User License Agreement (EULA), which governs your license to download, install, access, and use the MAPAS application.

By downloading, installing, accessing, creating an account, or using MAPAS, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

If you do not agree with this Agreement, you must not download, install, access, or use MAPAS.

PART I — END-USER LICENSE AGREEMENT (EULA)

1. License Grant

Subject to your compliance with this Agreement, MAPAS grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to:

  • Download and install the MAPAS application on a compatible device that you own or control.
  • Access and use the MAPAS application for its intended purposes.
  • Use the Services made available through the application in accordance with these Terms.

This license does not transfer ownership of the MAPAS application or any MAPAS intellectual property to you.

2. Restrictions on Use

You must not:

  • Copy, reproduce, or distribute the MAPAS application except as permitted by applicable law.
  • Modify, adapt, translate, or create derivative works from the application.
  • Reverse engineer, decompile, disassemble, or attempt to discover the source code, except where such activity cannot legally be restricted.
  • Remove copyright, trademark, or other proprietary notices.
  • Rent, lease, sell, sublicense, or transfer the application.
  • Use the application to develop a competing service without authorization.
  • Attempt to bypass security or authentication mechanisms.
  • Introduce malware, viruses, or other harmful code.
  • Interfere with the operation or security of MAPAS.

3. Updates and Changes

MAPAS may update, modify, improve, suspend, or discontinue portions of the application or Services from time to time.

Updates may be required to maintain compatibility, security, functionality, or compliance with applicable requirements.

Your continued use of MAPAS after an update may require acceptance of updated terms.

4. Ownership

The MAPAS application, including its:

  • Software
  • Design
  • Interface
  • Logos
  • Branding
  • Graphics
  • Content
  • Features
  • Documentation

is owned by or licensed to MAPAS and is protected by applicable intellectual-property laws. Except for the limited license granted in this Agreement, no rights are transferred to you.

5. Third-Party Services

MAPAS may use or integrate third-party services, including:

  • Google Maps
  • Twilio or other SMS/OTP providers
  • Payment providers
  • Cloud and hosting providers
  • App stores
  • Other technology or service providers

Your use of third-party services may be subject to their separate terms and policies. MAPAS does not grant you a license to third-party services beyond what is permitted by their respective providers.

6. App Store Requirements

If you download MAPAS through Apple App Store, Google Play, or another application marketplace, your use may also be subject to that marketplace's terms and policies.

The applicable app-store provider is a third-party beneficiary of this EULA only to the extent permitted or required by its applicable terms.

The app-store provider is not responsible for providing maintenance or support for MAPAS unless otherwise required by its own policies or applicable law.

7. Account Responsibility

You are responsible for maintaining the security of your MAPAS account and device.

You must not allow another person to use your account for unauthorized purposes.

You are responsible for activity performed through your account unless caused by circumstances outside your reasonable control.

8. Termination of License

The license granted under this EULA will automatically terminate if you materially violate this Agreement.

MAPAS may also suspend or terminate your access to the application or Services where permitted by applicable law.

Upon termination:

  • Stop using the MAPAS application.
  • Delete the application from your devices if requested or required.
  • Your right to use the MAPAS application under this EULA will end.

Termination does not affect rights or obligations that accrued before termination.

PART II — TERMS & CONDITIONS

9. Introduction

MAPAS is a technology platform that connects users with transportation, delivery, food, pharmacy, healthcare, appointment, and related services.

MAPAS may connect users with independent drivers, delivery personnel, restaurants, pharmacies, doctors, clinics, and other service providers.

Unless expressly stated otherwise, MAPAS does not directly provide every transportation, medical, pharmacy, restaurant, or delivery service available through the platform.

10. Eligibility

To use MAPAS, you must:

  • Provide accurate information.
  • Have a valid mobile phone number.
  • Be legally permitted to use the Services.
  • Comply with applicable laws.
  • Maintain the security of your account.

11. Account Registration

Users may be required to create an account using their mobile phone number.

MAPAS may use SMS verification, including Twilio or another service provider, to verify your phone number.

You must not create an account using another person's identity or provide false information.

12. Transportation Services

MAPAS may provide access to transportation options including:

  • Cars
  • Motorbikes
  • Tricycles
  • Other transportation options made available through the platform

Ride availability, fares, routes, and estimated arrival times may vary.

13. Drivers and Service Providers

Drivers and other service providers may be independent providers rather than MAPAS employees.

They are responsible for complying with applicable laws, licenses, permits, safety requirements, and professional obligations.

14. Delivery Services

MAPAS may facilitate:

  • Food delivery
  • General delivery
  • Pharmacy pickup and delivery
  • Other delivery services

Users must provide accurate pickup and delivery information.

15. Food Services

Restaurants are responsible for food preparation, quality, safety, ingredients, allergens, availability, and pricing.

MAPAS may facilitate orders but does not necessarily prepare or supply food.

16. Pharmacy Services

MAPAS may provide pharmacy directories and facilitate pharmacy pickup or delivery.

MAPAS is not a pharmacy and does not prescribe, manufacture, or dispense medication.

Pharmacies remain responsible for medication availability, dispensing, professional advice, prescriptions, pricing, and applicable legal requirements.

17. Doctors and Healthcare Services

MAPAS may allow users to find doctors, clinics, and healthcare providers and request appointments.

MAPAS does not replace medical professionals and does not guarantee any medical outcome.

Healthcare providers remain responsible for the healthcare services they provide.

18. Appointments

Appointment availability is controlled by the relevant healthcare provider.

Users are responsible for providing accurate information and following the provider's appointment, cancellation, and no-show requirements.

19. Maps and Location Services

MAPAS may use mapping and location services to provide:

  • Pickup and destination selection
  • Driver tracking
  • Route calculation
  • Estimated arrival times
  • Nearby services

Users must provide appropriate location permissions where required.

20. Live Tracking

MAPAS may display approximate real-time locations of drivers or delivery personnel during active services.

Location accuracy may depend on GPS, network connectivity, device settings, and third-party mapping services.

21. Messaging

Users may communicate with drivers, delivery personnel, pharmacies, doctors, restaurants, clinics, and other partners through MAPAS where messaging is available.

Users must not use messaging for harassment, fraud, illegal activity, spam, or harmful content.

22. Payments and Fees

MAPAS may support:

  • Cash
  • Mobile money
  • Card payments
  • Other payment methods

Prices and fees may vary according to service type, distance, availability, partner pricing, and other applicable factors. Third-party payment providers may apply their own terms.

23. User Responsibilities

Users agree to:

  • Provide accurate information.
  • Use MAPAS lawfully.
  • Treat other users and service providers respectfully.
  • Follow safety requirements.
  • Not misuse the platform.
  • Not attempt unauthorized access.
  • Not engage in fraud or illegal activities.

24. Prohibited Activities

Users must not:

  • Commit fraud.
  • Create fake bookings.
  • Manipulate fares.
  • Abuse promotions.
  • Harass users or service providers.
  • Introduce malicious software.
  • Circumvent security controls.
  • Reverse engineer MAPAS except where legally permitted.
  • Use MAPAS for illegal activities.

25. Safety

Users should exercise reasonable caution when using transportation, delivery, healthcare, and other services.

For rides, users should verify that the vehicle and driver information match the information displayed in MAPAS before starting the ride.

26. Third-Party Services

MAPAS may depend on third-party providers for maps, SMS, payments, hosting, notifications, analytics, and other functionality.

Third-party services may be subject to separate terms and privacy policies.

27. Privacy

Your use of MAPAS is also governed by the MAPAS Privacy Policy.

The Privacy Policy explains how MAPAS collects, uses, stores, and shares personal information.

28. Account Suspension and Termination

MAPAS may suspend or terminate an account where permitted by applicable law, including for:

  • Violation of this Agreement
  • Fraud
  • Misuse of the platform
  • Safety concerns
  • Illegal activity
  • Security risks

29. Service Availability

MAPAS does not guarantee that the Services will always be uninterrupted, error-free, or available.

Services may be affected by maintenance, technical problems, network issues, third-party service failures, or circumstances beyond MAPAS's reasonable control.

30. Limitation of Liability

To the extent permitted by applicable law, MAPAS is not responsible for losses arising from the independent actions of drivers, restaurants, pharmacies, healthcare providers, or other third parties.

Nothing in this Agreement excludes liability that cannot legally be excluded under applicable law.

31. Intellectual Property

MAPAS's software, branding, logos, designs, content, and other intellectual property remain the property of MAPAS or its licensors.

No ownership rights are transferred to users through this Agreement.

32. Changes to This Agreement

MAPAS may update this Agreement from time to time.

Significant changes may be communicated through the application, website, or another appropriate method.

The updated Agreement will display a new "Last Updated" date.

33. Governing Law

This Agreement shall be interpreted in accordance with the laws of the Republic of Togo, subject to any mandatory rights and protections provided by applicable law.

35. Acceptance

By downloading, installing, creating an account, accessing, or using MAPAS, you acknowledge that:

  • You have read this Agreement.
  • You understand this Agreement.
  • You agree to the Terms & Conditions.
  • You agree to the End-User License Agreement.
  • You are legally permitted to use MAPAS.

If you do not agree, do not download, install, access, or use MAPAS.
